These Terms of Service (“Terms”) govern your access to and use of the services provided by Client Tree (“Client Tree,” “we,” “us,” or “our”), including our websites, online platform, and communication tools (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

DESCRIPTION OF THE SERVICES

Client Tree offers an all-in-one platform that may include:

• Website and landing page building, including forms and surveys.

• AI receptionist and communication tools (website chat, SMS assistant, and automatic text reply after a missed call “missed-call text back”).

• A CRM to store contacts, leads, and customers with notes, tags and pipelines.

• Online booking calendars, confirmations, reminders, and no-show follow-ups.

• SMS and email marketing campaigns, automation workflows, and review request flows.

• Optional reputation management and social media scheduling features.

Our customers are businesses (“Clients”). Individuals who receive communications sent through our Services are “End Users”.

By using the Services, you represent that you are at least 18 years old and have authority to enter into these Terms on behalf of yourself or the business you represent.

ACCOUNT REGISTRATION

To use certain features, you may need to create an account. You agree to:

• Provide accurate and complete information.

• Keep your login credentials confidential.

• Be responsible for all activity that occurs under your account.

We may suspend or terminate your account if we believe you have violated these Terms or if necessary to protect the Services or other users.

ACCEPTABLE USE

You may use the Services only for lawful business purposes. You agree not to:

• Use the Services for spam, fraud, harassment, or any unlawful activity.

• Send messages to individuals who have not provided appropriate consent.

• Violate any laws relating to telemarketing, privacy, data protection, and electronic communications (such as the TCPA, CAN-SPAM, GDPR, or similar laws).

• Upload or transmit viruses, malware, or other harmful code.

• Attempt to gain unauthorized access to the Services, accounts, or systems.

• Reverse engineer, decompile, or attempt to discover the source code or underlying structure of the Services.

You are solely responsible for your content, your websites and funnels, and your communications with End Users, including obtaining and maintaining all required consents.

AI AND AUTOMATION

Our Services may use artificial intelligence (AI) and automation to answer messages and calls, generate or suggest responses, and perform follow-ups.

You understand that AI-generated responses may not always be accurate or appropriate. The Services do not provide legal, medical, financial, or other professional advice. You are responsible for supervising how AI is used in your account and for reviewing important content before relying on it.

WEBSITES, FUNNELS, AND CONTENT

When you create or host content using our Services:

• You are responsible for the accuracy and legality of all text, images, videos, and offers.

• You must ensure your content complies with all applicable laws, including intellectual property, advertising, and consumer protection laws.

• You must not publish content that is illegal, harmful, defamatory, hateful, misleading, or invasive of another’s privacy.

We may remove or disable access to any content that we believe violates these Terms or applicable law.

MESSAGING AND SMS PROGRAM

The Services allow you to send SMS/text messages, emails, and other communications.

For End Users (people receiving messages):

By providing your phone number to a Client and opting in, you agree to receive text messages sent through Client Tree on that Client’s behalf. Messages may include appointment confirmations and reminders, service updates, follow-ups, review requests, and promotional messages if you consented to receive them.

You can opt out at any time by replying “STOP” to any message. For help, you can reply “HELP” or contact Client Tree at [email protected] or +17817761733.

Message and data rates may apply. Message frequency may vary. Mobile carriers are not liable for delayed or undelivered messages.

For Clients (business users):

You are responsible for:

• Collecting and keeping valid consent from End Users before sending SMS or marketing messages.

• Explaining clearly what types of messages will be sent and how often.

• Including simple opt-out instructions (e.g., “Reply STOP to cancel, HELP for help”).

• Complying with all applicable laws, regulations and carrier rules.

Client Tree may provide templates and tools but does not guarantee that your specific campaigns are legally compliant.

FEES AND PAYMENT

If you purchase a paid plan or service, you agree to pay all fees described at the time of purchase, plus any applicable taxes. Unless otherwise stated, subscriptions are billed in advance on a recurring basis (for example, monthly or annually).

By providing a payment method, you authorize us and our payment processor to charge that method for all applicable fees. We may change pricing for future billing periods by giving you prior notice. Except where required by law, all payments are non-refundable.

INTELLECTUAL PROPERTY

Client Tree owns all rights, title, and interest in and to the Services, including our software, designs, AI models, logos, and branding.

You own the content and data you upload into the Services (such as your business information, scripts, contact lists, and website content). By submitting content, you grant Client Tree a non-exclusive, worldwide, royalty-free license to use, reproduce, and display that content only as needed to provide and improve the Services.

You may not use Client Tree’s trademarks, names, or logos without our prior written consent.

PRIVACY

Our collection and use of personal information is explained in our Privacy Policy. By using the Services, you agree that we can handle personal information as described in that policy. The Privacy Policy is incorporated into these Terms.

When you upload or share personal data about End Users, you confirm that you have the right to do so and that you will comply with all applicable privacy and data-protection laws.

THIRD-PARTY SERVICES

The Services may integrate with third-party services (such as telephony providers, SMS gateways, email providers, payment processors, or social media platforms).

We do not control and are not responsible for the content, policies, or practices of third-party services. Your use of third-party services is governed by their own terms and privacy policies.

DISCLAIMER OF WARRANTIES

The Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express or implied.

Client Tree specifically disclaims any warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

We do not warrant that the Services will be uninterrupted, secure, or error-free, or that they will meet your specific requirements.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, Client Tree shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or in connection with your use of the Services, even if we have been advised of the possibility of such damages.

Our total cumulative liability for any claim relating to the Services shall not exceed the amount you paid to us for the Services during the three (3) months immediately before the event giving rise to the claim.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Client Tree and our officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of the Services;

• Your violation of these Terms;

• Your violation of any law or regulation; or

• Your content or communications, including your SMS, email, and marketing activities and your failure to obtain proper consent from End Users.

TERMINATION

We may suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms or if we need to protect the Services or other users.

You may stop using the Services at any time. If you wish to close your account, you can contact us at [email protected].

Upon termination, your right to use the Services will end. Any sections of these Terms that by their nature should survive termination (including payment obligations, intellectual property, disclaimers, limitations of liability, and indemnification) will remain in effect.

CHANGES TO THESE TERMS

We may update these Terms from time to time. When we do, we will change the “Last updated” date at the top. If changes are material, we may also provide additional notice (for example, by email or within the platform). Your continued use of the Services after the changes take effect means you accept the updated Terms.

GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict-of-law rules.

Any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts serving Quincy, Massachusetts, United States, and you consent to the jurisdiction of those courts.
